You will not use the Website for any purpose that is unlawful or prohibited by these Terms and Conditions. By using the Website you are fully accepting the terms, conditions and disclaimers contained in this notice. If you do not accept these Terms and Conditions you must immediately stop using the Website.
2.1 The contents of the Website do not constitute advice and should not be relied upon in making or refraining from making, any decision.
2.2 Ingredient A – Z
We do not make claim to any health benefit or the curing of any disease or illness. Information provided is from findings of studies and nutritionists, and should be used as a guide. From time to time the origin of an ingredient may change, particularly at the change of seasons. The website will be kept up to date to the best of our ability.

We endeavour to reply to all email contact within 24hrs, however from time to time workload may prevent this. Any advice or statements given are non-binding and without prejudice.
3 CHANGES TO WEBSITE
Vital Ingredient reserves the right to:
3.1 change or remove (temporarily or permanently) the Website or any part of it without notice and you confirm that Vital Ingredient shall not be liable to you for any such change or removal; and
3.2 change these Terms and Conditions at any time, and your continued use of the Website following any changes shall be deemed to be your acceptance of such change.
4.1 All copyright, trademarks and all other intellectual property rights in the Website and its content (including without limitation the Website design, text, graphics and all software and source codes connected with the Website) are owned by or licensed to Vital Ingredient or otherwise used by Vital Ingredient as permitted by law.
4.2 In accessing the Website you agree that you will access the content solely for your personal, non-commercial use. None of the content may be downloaded, copied, reproduced, transmitted, stored, sold or distributed without the prior written consent of the copyright holder. This excludes the downloading, copying and/or printing of pages of the Website for personal, non-commercial home use only.
5 DISCLAIMERS AND LIMITATION OF LIABILITY
5.1 The Website is provided on an “AS IS” and “AS AVAILABLE” basis without any representation or endorsement made and without warranty of any kind whether express or implied, including but not limited to the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security and accuracy.

5.4 Nothing in these Terms and Conditions shall be construed so as to exclude or limit the liability of Vital Ingredient for death or personal injury as a result of the negligence of Vital Ingredient or that of its employees or agents.
You agree to indemnify and hold Vital Ingredient and its employees and agents harmless from and against all liabilities, legal fees, damages, losses, costs and other expenses in relation to any claims or actions brought against Vital Ingredient arising out of any breach by you of these Terms and Conditions or other liabilities arising out of your use of this Website.
If any of these Terms and Conditions should be determined to be invalid, illegal or unenforceable for any reason by any court of competent jurisdiction then such Term or Condition shall be severed and the remaining Terms and Conditions shall survive and remain in full force and effect and continue to be binding and enforceable.
8 GOVERNING LAW
These Terms and Conditions shall be governed by and construed in accordance with the law of England and you hereby submit to the exclusive jurisdiction of the English courts.
Online Ordering Terms and Conditions
Vital Corporate Orders is the on-line store owned and operated by Vital 1 Limited (trading as Vital Ingredient) on the Internet. Access to the Vital Corporate Orders site is subject to registration and the following terms and conditions. These terms and conditions will come into effect when you have registered with us.
1.1 You are registering as a user of Vital Corporate Orders. Access will be through your username and password. These are personal to you with your registered details; please do not share these details with anyone. You should notify us if your username or password is taken or being used by another party by contacting us on email@example.com You can change your password at any time by clicking the “Change Password” button on the account page on our delivery site.
2 Making a Purchase
2.1 There is a daily cut-off time for orders. This is shown on the home screen. No new orders can be accepted after this time. Any cancellations must be made by emailing firstname.lastname@example.org by 4pm the day before the delivery date. We cannot accept same day cancellations.
2.2 Any order you make for products on Vital Corporate Orders is an offer by you to purchase such products (subject to these terms and conditions), and acceptance of any order is at Vital Ingredient’s sole discretion. An order is deemed to have been accepted by Vital Ingredient only when you receive the receipt confirmation with your order details or confirmation to this effect after the point of payment. Once we have accepted your order, there may be occasions where, for quality reasons or for other reasons beyond our control, it will not be possible to complete your order in full. In such cases, we will aim to replace your order or parts of your order with a substitute product or products of similar quality. 3 Price and Payment
3.1 The price will be as set out on the menu selection page (shown on the Vital Corporate Orders), prices will be current at the date of order of the products.
3.2 Price and availability information is subject to change without notice. We accept payment on-line by most leading credit and debit cards including Visa, MasterCard, Amex, Maestro and Delta. Payment will be charged against your card at the time of order. We also accept payment by PayPal.
3.3 Vital Ingredient does not store any credit/debit card details on our platform.
4.1 Products will be delivered to the collection point nominated by yourself at the time of making the order (This may be a reception area). You may change your nominated collection point when placing an order by adding comments to the special instructions box at “the checkout”.
4.2 All deliveries must be checked and signed for by an approved representative of you at the time of delivery. Signature will be deemed to constitute acceptance and delivery of a complete order.
4.3 If any part of an order is found to be missing (or is rejected) on delivery, you must inform Vital Ingredient immediately by ringing our helpline on 02079356038 or emailing firstname.lastname@example.org
5.Terms of Supply
5.1 Vital Ingredient food is supplied strictly for direct customer use. Under no circumstances is our food to be re-sold to a third party or offered at subsidised or inflated rates to a third party. This restriction also applies to in-house catering arrangements where contract caterers are ordering on behalf of clients.
5.2 You will comply with any instructions and recommendations of Vital Ingredient in relation to the storage and use of the products (for example and without limitation, use by dates).
6.1 The liability of Vital Ingredient in contract, tort (including, without limitation, negligence) or otherwise in respect of any products delivered or otherwise in connection with an order or for any loss, injury or damage attributable directly or indirectly thereto will be at the sole discretion of Vital Ingredient It will be limited to either;
(a) delivering replacement products (at Vital Ingredient’s expense) or
(b) refunding any sums paid to Vital Ingredient for the products.
6.2 Vital Ingredient will not be liable (whether or not caused by Vital Ingredient’s negligence) for any loss of profit or goodwill or opportunity or reputation suffered or incurred by or any third party, nor for any indirect or consequential loss.
6.3 Vital Ingredient will not be liable for any loss, injury or damage attributable directly or indirectly to any use of or inability to use the Vital Corporate Orders website by you including (but not by way of limitation) any inaccessibility or malfunctioning of the website, fraud, misuse of data or any viruses passed to your computer from the Vital Corporate Orders website.
6.4 Nothing in these terms will limit or exclude the liability of Vital Ingredient for death or personal injury caused by negligence on its part and nothing in these terms will affect your statutory rights.
7.1 You can withdraw your registration by emailing the helpdesk at email@example.com
7.2 We reserve the right to terminate your access to Vital Corporate Orders website immediately without notifying you in
advance should you not operate your account in line with these terms and conditions.
8 Use of material appearing on the Vital Corporate Orders website
8.1 All rights in the site design, computer codes, text, graphics and other content, interfaces, and the selection and arrangements thereof (the “Materials”) belong to Vital Ingredient or its licensors. You may print or download portions of this site and make copies of these for your own personal use only. Any other use (including without limitation any further reproduction, storage or transmission to anyone) of any Materials without our prior written permission is strictly prohibited.

You should therefore regularly visit these terms and conditions to ensure that you keep up to date with your rights and obligations under this Agreement. If any such amendments are considered in the reasonable opinion of Vital Ingredient to be material, notice of the amendments will be bought to your attention on your next visit to the Vital Corporate Orders site.
10.2 If you do not wish to accept an amendment you should immediately withdraw your registration to the Vital Corporate Orders site.
11 Access/Force Majeure
11.1 Although we will aim to provide uninterrupted access to the Vital Corporate Orders site, we cannot guarantee this. We accept no responsibility or liability for any interruption or delay which may occur to anyone visiting or wishing to visit the Vital Corporate Orders site.
11.2 In the event we cannot fulfil obligations to you under this agreement due to any event beyond our reasonable control, we will notify you and we will be relieved of our obligations to you under these terms and conditions to the extent such performance is hindered by such an event.
12.1 This Agreement is governed by English law and both we and you agree to submit to the exclusive jurisdiction of the English courts.
